Duration: 12 Month ROLLING contract

Job Summary:
Provision of Company Secretarial services and Governance advise to our client's board, the committees of the Board and the UK, US, Dutch and Italian incorporated companies of our client.
Key Accountabilities & Responsibilities:
Company Secretarial Services:
-Assistance in the provision of core company secretarial services to the Board, including the preparation and distribution of the schedule of meetings, documentation and participation for the Board and its Committees (Audit and Risk; Technical and Investment; Safety, Ethics, Environment and Risk; Nomination and Remuneration).
-Assistance in writing minutes of Board and Committee meetings as well as various matters related to statutory accounts.
-Assistance in the preparation and circulation of documentation for Shareholders.
-Assistance in the preparation and circulation for approval of Board/Shareholder documentation for our subsidiaries.
Corporate Governance and Compliance:
– Assistance in the provision of corporate governance and compliance services for the UK incorporated/managed companies, and for the non-UK group of companies coordinate those services with external advisers, to comply with regulatory provisions including maintenance of statutory records and books, corporate filings, and maintenance of internal/external data bases.
-Assistance in ensuring that directors and management operate within an approved authority framework, providing appropriate guidance including, where required, support the preparation of relevant trainings, group policies and Manual of Authorities.
-Assistance with KYC and other due-diligence request from third party.
Corporate Restructuring:
- Assistance in the general company secretarial support in relation to the corporate restructuring activities; including corporate reorganizations, capital restructures and transfers, M&As, and liquidations.
-Assistance with review and update of group Articles and other reference governance documents, as may be required
Main Interfaces:
• Board of Directors of our client and its subsidiaries
• Chairs of the Committees of the Board
• Shareholder Representatives for our client
• CEO and Leadership Team
• CFO and London based Finance Team
• Legal Director and Angola Legal Team
Desired Education and Skills:
• Strong academic record
• Broad based experience with knowledge of working in a regulated sector ideally in the oil, gas and energy sector.
• Working with key executives and their teams
• Exceptional Interpersonal skills
• Ability to communicate (listen and influence) effectively at all levels.
• Accuracy and attention to detail is essential.
• Ability to work independently and as part of a team
